1. Agreement to Terms

Welcome to I Said You Heard. These Terms of Service ("Terms") constitute a legally binding agreement between you and Kind Words Are Cool, LLC ("Company," "we," "our," or "us") governing your access to and use of our temperament assessment and coaching services, including our website at isaidyouheard.com and mobile applications (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

2. Description of Services

I Said You Heard provides:

  • Temperament Assessment: A 40-question assessment based on the four-temperament model from "I Said This, You Heard That" by Kathleen Edelman, which identifies your communication wiring as combinations of Blue, Red, Yellow, and Green temperaments.
  • AI-Powered Coaching: Personalized communication coaching through our mobile app that helps you apply temperament insights to your daily interactions.
  • Facilitation Tools: Features to guide conversations between individuals with different temperaments.
  • Educational Resources: Information about the temperament framework and effective communication strategies.

3. Eligibility

You must be at least 13 years of age to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Account Registration

To access certain features of our Services, you may need to create an account or use an assessment code. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Keep your account credentials confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

5. Assessment Codes and Purchases

Assessment Codes

Assessment codes are required to take the temperament assessment. Codes may be purchased individually, in bulk, or provided by an organization (employer, educational institution, etc.).

  • Each standard code is valid for one assessment
  • Codes provided by organizations may be subject to additional terms set by that organization
  • Assessment results from organization-provided codes may be shared with designated organization administrators

Subscriptions and In-App Purchases

Our mobile app offers subscription-based access to coaching features. By subscribing:

  • You authorize recurring charges to your chosen payment method
  • Subscriptions auto-renew unless cancelled before the renewal date
  • You can manage and cancel subscriptions through your Apple App Store account settings
  • Refunds are subject to Apple's refund policies for in-app purchases

Refund Policy

For web purchases processed through Stripe, please contact us at info@isaidyouheard.com for refund requests. Refunds are considered on a case-by-case basis for unused assessment codes.

6. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Services or related systems
  • Share, sell, or transfer assessment codes that were provided to you personally
  • Use automated means to access or collect data from the Services without permission
  • Interfere with or disrupt the integrity or performance of the Services
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Services to harass, abuse, or harm others
  • Upload or transmit malicious code or content

7. AI-Powered Features

Our Services include AI-powered coaching and facilitation features. By using these features, you understand and agree that:

  • Not Professional Advice: AI coaching is for educational and informational purposes only. It is not a substitute for professional counseling, therapy, medical advice, or mental health services.
  • AI Limitations: AI responses may not always be accurate, complete, or appropriate for your specific situation. Use your own judgment when applying any suggestions.
  • No Guarantees: We do not guarantee that AI coaching will produce specific results in your relationships or communications.
  • Content Processing: Your conversations with AI features are processed to generate responses. See our Privacy Policy for details on how we handle this data.

8. Intellectual Property

Our Content

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, audio, video, software, and the design and arrangement thereof) are owned by Kind Words Are Cool, LLC, Kathleen Edelman, or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes in accordance with these Terms.

Restrictions

You may not:

  • Copy, modify, or distribute our content without written permission
  • Use our trademarks or branding without authorization
  • Reproduce the assessment questions or methodology for commercial purposes
  • Create derivative works based on our Services or content

9. User Content

You retain ownership of any content you submit through our Services (such as coaching conversations). By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content as necessary to provide and improve our Services.

You represent that you have all necessary rights to submit such content and that it does not violate the rights of any third party.

10. Privacy

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand how we collect, use, and protect your information.

11. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Services will be uninterrupted, error-free, or secure
  • Warranties regarding the accuracy or reliability of assessment results or AI-generated content

The temperament assessment provides insights based on your responses but does not constitute a psychological evaluation or diagnosis. Results should be used as a starting point for self-reflection and improved communication, not as definitive characterizations of personality.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KIND WORDS ARE COOL, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES arising out of or relating to your use of the Services, including but not limited to:

  • Loss of data, profits, or goodwill
  • Service interruptions or errors
  • Actions taken based on assessment results or AI coaching
  • Unauthorized access to your account or data

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kind Words Are Cool, LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Any content you submit through the Services

14. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

  • Your right to use the Services will immediately cease
  • Any unused assessment codes may be forfeited
  • We may delete your account and associated data in accordance with our Privacy Policy

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction.

17. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Kind Words Are Cool, LLC regarding the Services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
